Entity Status: Erite Sphere Ltd is a CAC-registered company and a certified exporter under the Nigerian Export Promotion Council (NEPC).
Legal Adherence: All transactions are conducted in accordance with the Nigeria Customs Service Act and international trade laws.
Governing Law & Jurisdiction: These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through binding arbitration in Lagos, Nigeria, or a mutually agreed international tribunal.
Unless otherwise specified in a formal Sales Contract, our standard terms follow the latest Incoterms®:
FOB (Free on Board): Erite Sphere is responsible for goods until they are loaded onto the vessel at the designated Nigerian port (e.g., Apapa or Tin Can Island).
CIF (Cost, Insurance, and Freight) : Erite Sphere handles shipping and insurance to the buyer's destination port.
Export Clearance: Erite Sphere is responsible for export clearance in Nigeria; the buyer assumes risk as per the selected Incoterm.
Prestige Standard: All goods (Cocoa, Cashew, Ginger, Sesame, and Lithium Ore) are supplied according to technical specifications in our "Commodity Mastery" guides.
Standardized Testing: Commodities are subject to pre-shipment inspection by global agencies (SGS, Bureau Veritas, or Intertek) to verify KOR, purity, and moisture levels.
Finality of Inspection: Quality and weight certificates issued at the port of loading by an independent inspector shall be final and binding for both parties.
Certifications: Shipments include a Certificate of Origin, Phytosanitary Certificate (where applicable), and detailed Packing Lists.
Instruments: We primarily accept Irrevocable Letters of Credit (L/C) at sight or Telegraphic Transfers (T/T) per the specific contract agreement.
Currencies: All transactions are denominated in USD unless specified otherwise.
Repatriation of Proceeds: In compliance with CBN regulations, all export proceeds must be repatriated to our designated Nigerian Export Domiciliary Account within 180 days of the Bill of Lading date.
Erite Sphere Ltd operates in accordance with the Nigeria Data Protection Act (NDPA) 2023 and the General Application and Implementation Directive (GAID) 2025. We are committed to lawfulness, transparency, and data minimization.
We collect professional data necessary for international trade operations:
Business Identity: Company name, registration details, and Tax Identification Numbers (TIN).
Contact Personnel: Names, professional email addresses, and phone numbers of authorized representatives.
Financial Data: Bank details for transaction processing and AML compliance.
Technical Data: IP addresses and cookies to analyze website traffic and optimize user experience.
Processing Grounds: Data is processed for contractual necessity, legal obligations (Customs, NDPC, AML), and explicit consent.
International Transfers: Data shared with foreign banking or logistics partners occurs under Standard Contractual Clauses providing an "adequate level of protection" under Nigerian law.
